Mix together:
2 c. frozen mixed vegetables, thawed
1 can shoe peg corn (white)
c. chopped celery
c. onion
c. Hellman's mayonaise
1 c. grated cheese

Mix and top 1st layer with:
2 sticks oleo, melted
2/3 box Ritz Crackers, crushed

Bake 30 - 35 minutes at 350 degrees.
