Mix all together and pat 3/4 of the mixture into a 9x13 pan. Bake at 350 for 10 minutes.

Caramel Sauce:
32 caramels (I've always used Kraft)
2 tbsp. cream
3 tbsp. butter
Melt in microwave for 2 minutes and stir, microwave 30 seconds more and stir. Do until all carmels are melted.

Add melted caramel mixture and sprinkle with 1 c. of chocolate chips. Top with remaining crumbs and bake at 350 for 15 minutes.
